Terms of Use – Referaly

Article 1 – Purpose
These Terms of Use (hereinafter referred to as the “Terms”) govern access to and use of the Referaly platform, published by the company Referaly, and accessible via the mobile app and the website www.referaly.fr (hereinafter the “Application”).
Referaly enables users to develop, manage, and centralize a network of business referrers, and connect with professionals open to sharing commissions for business referrals.
Article 2 – Definitions

User: Any individual or legal entity registered on the platform, including referrers, professionals, or prospects.

Referrer: A person who recommends a professional in exchange for a possible commission.

Professional: A user who has subscribed to a Referaly plan, offers a product or service, and wants to grow their referral network.

Service: All the functionalities offered through the Referaly platform.

Referral Agreement: A digital contract between a professional and a referrer established within the Application.
Article 3 – Access to the Platform
Access to Referaly is open to any adult with legal capacity, as well as legally registered professionals. Certain features are only available to users with a premium subscription.
Users must provide accurate information when registering. Referaly reserves the right to suspend or delete an account in case of a clear breach of these Terms or fraudulent behavior.
Article 4 – Service Features
4.1 Referral Network Management

Centralize referrals and monitor commissions

Sign digital referral agreements
4.2 Referaly Finder
A free feature that helps users discover professionals open to commission-based referral partnerships.
Article 5 – User Commitments
Users agree to:

Use the platform in accordance with applicable laws

Not use the service for unlawful or inappropriate purposes

Not impersonate another person
Professionals agree to fulfill all legal obligations related to referral partnerships (tax declarations, written agreements, proper compensation, etc.).
Article 6 – Personal Data
Referaly collects and processes personal data in accordance with its Privacy Policy. Users may access, correct, or delete their data by contacting: hello@referaly.fr
Article 7 – Intellectual Property
All content on the platform (text, images, logos, interface, code) is the exclusive property of Referaly. Any unauthorized reproduction or use is strictly prohibited.
Article 8 – Liability
Referaly acts as a technical intermediary and declines any responsibility in case of disputes between a professional and a referrer. It is the responsibility of each party to ensure their agreement complies with applicable laws.
Referaly applies reasonable means to ensure the security and proper operation of the Application but is not liable for outages, data loss, or unauthorized access.
Article 9 – Term and Termination
The user agreement is valid indefinitely from the time of account creation. Users may delete their account at any time via their profile settings.
Referaly reserves the right to suspend or terminate an account in case of a serious violation of these Terms.
Article 10 – Modifications
Referaly may amend these Terms at any time. Changes take effect as soon as they are published on the platform. Continued use of the platform implies acceptance of the revised Terms.
Article 11 – Governing Law and Jurisdiction
These Terms are governed by French law. Any disputes regarding their interpretation or execution shall be under the exclusive jurisdiction of the courts in the location of Referaly’s headquarters, unless otherwise required by public law.
